1. Acceptance of Terms

By accessing and using the TamuHQ platform (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. TamuHQ reserves the right to modify these terms at any time. Changes become effective upon posting to our website. Your continued use of the Service constitutes acceptance of modified terms.

2. Service Description

TamuHQ is a Software-as-a-Service (SaaS) platform that provides hospitality property management and booking engine functionality. The Service includes:

  • Booking calendar and availability management
  • Guest booking and reservation processing
  • Payment processing and settlement
  • Multi-channel calendar synchronization (iCal integration)
  • Guest management and CRM features
  • Automated email notifications
  • Owner dashboard and analytics
  • Integration with Visit network destination portals

The Service is provided on an "as-is" basis for your use in managing your accommodation property or properties.

3. Account Registration and Eligibility

3.1 Account Creation

To use the Service, you must create an account with accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of unauthorized access

3.2 Eligibility Requirements

You must be:

  • At least 18 years old
  • A legal resident of Malaysia or authorized to conduct business in Malaysia
  • The owner or authorized operator of the accommodation property(ies) listed in your account
  • Compliant with all applicable Malaysian laws and regulations, including MOTAC (Ministry of Tourism, Arts and Culture) requirements if applicable

3.3 Account Termination

TamuHQ reserves the right to terminate or suspend your account if you violate these Terms or applicable laws. Upon termination, your access to the Service ceases immediately.

4. Payment Terms and Billing

4.1 Pricing and Billing

  • Pricing: Current pricing is displayed on our website (Starter: RM 99/month, Professional: RM 199/month, Business: RM 299/month)
  • Billing Cycle: Monthly or annual (at your selection)
  • Payment Method: You authorize TamuHQ to charge your selected payment method

4.2 Payment Processing

  • Payments are processed by our payment processor (Stripe, FPX partners, or other authorized gateways)
  • You authorize recurring charges unless you cancel your subscription
  • Declined payments may result in service suspension
  • Failed payments subject to retry attempts per processor policies

4.3 Invoicing

  • Invoices are generated automatically and sent to your registered email
  • You are responsible for maintaining accurate billing contact information
  • Invoices remain your property; TamuHQ does not provide original paper invoices

4.4 Refunds and Credits

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Pro-rata refunds available upon cancellation (less service days used)
  • Payment disputes must be raised within 30 days of charge
  • Promotional credits are non-refundable unless explicitly stated

4.5 Price Changes

TamuHQ may change subscription pricing with 30 days' notice. Price changes apply to new billings after the notice period. Your current billing rate remains unchanged until renewal.

5. Cancellation and Termination

5.1 Cancellation by Customer

  • You may cancel your subscription anytime through your account settings
  • Cancellation takes effect at the end of your current billing period
  • Upon cancellation, your account data is retained for 30 days, then permanently deleted
  • No refunds issued for partial billing periods

5.2 Service Termination by Tamu

TamuHQ may terminate your service immediately if:

  • You breach these Terms
  • You engage in fraudulent, illegal, or abusive conduct
  • Your account remains inactive for more than 180 days
  • You fail to pay invoices after 30 days notice
  • Your use violates Malaysian law or regulations
  • You attempt to access the Service in unauthorized ways

Upon termination, you forfeit all rights to use the Service.

6. Guest Booking and Transaction Processing

6.1 Your Responsibility

  • You are responsible for providing accurate property information, pricing, and availability
  • You are responsible for fulfilling all bookings made through TamuHQ
  • You must honor all confirmed reservations unless cancelled by the guest
  • You must comply with all local regulations regarding tourism, health, and safety

6.2 Guest Disputes

  • Disputes between you and your guests are your responsibility to resolve
  • TamuHQ is not responsible for guest disputes, refund requests, or cancellations
  • TamuHQHQ will not mediate disputes or adjudicate claims between you and guests

6.3 Cancellation Policies

  • You set your own cancellation policy in your account settings
  • TamuHQHQ will enforce your stated policy
  • You are responsible for communicating your cancellation policy to guests
  • Disputes over cancellation policies are between you and the guest

7. Payment Processing and Settlements

7.1 Payment Settlement

  • Guest payments are processed by our payment partners (Stripe, FPX gateways, etc.)
  • Funds are deposited to your registered bank account on a standard settlement schedule (typically 2-3 business days)
  • Payment processing fees (typically 2-3%) are deducted from deposits

7.2 Payment Disputes

  • Payment disputes must be raised with our payment processor within 30 days
  • TamuHQHQ will assist with documentation but is not responsible for processor decisions
  • Chargeback fees may be charged to your account if applicable

7.3 Refunds and Reversals

  • Guest refunds are your responsibility; process through your bank account
  • TamuHQ provides guest refund tools but does not process refunds directly
  • Failed payment reversals due to insufficient funds may result in service suspension

8. Channel Synchronization and iCal Integration

8.1 iCal Sync Accuracy

  • TamuHQHQ uses iCal (RFC 5545) standard for calendar synchronization
  • Synchronization is automatic but may have slight delays (typically minutes to hours)
  • You are responsible for monitoring calendar accuracy across all channels

8.2 Sync Failures

  • TamuHQ is not responsible for failed iCal feeds from OTA partners (Airbnb, Booking.com, Agoda)
  • If OTA calendar feeds stop updating, contact the OTA directly
  • TamuHQHQ will assist in troubleshooting but assumes no liability for third-party platform failures

8.3 Manual Override

  • You may manually block/unblock dates in TamuHQ to override synced bookings
  • Manual overrides are your responsibility; use carefully to avoid conflicts

9. Data and Intellectual Property

9.1 Your Data

  • You own all data you input into TamuHQ (property details, pricing, guest information)
  • TamuHQ retains the right to use aggregated, anonymized data for service improvement
  • Upon account termination, your data is deleted after 30 days

9.2 Backup and Data Loss

  • TamuHQ is not responsible for data loss caused by:

  • Your failure to maintain backups

  • Third-party payment processor failures

  • Force majeure events
  • You are responsible for backing up critical business data

9.3 Tamu Intellectual Property

  • TamuHQHQ owns all code, interfaces, features, and platform components
  • You are granted a non-exclusive, non-transferable license to use the Service
  • You may not reverse engineer, decompile, or attempt to access Tamu source code

10. Limitation of Liability

10.1 Disclaimer of Warranties

Tamu is provided "as-is" without warranties of any kind. TamuHQ does not warrant that:

  • The Service will be uninterrupted or error-free
  • All features will meet your specific business needs
  • The Service will be compatible with all third-party integrations

10.2 Liability Caps

To the maximum extent permitted by law, Tamu's total liability for any claim is limited to:

  • The total fees you paid in the 3 months preceding the claim, or
  • RM 1,000, whichever is greater

This applies to all claims, whether based on contract, tort, negligence, or other legal theory.

10.3 Excluded Damages

Tamu is not liable for:

  • Lost profits, lost revenue, or lost business opportunities
  • Lost data, corrupted data, or data breaches from third-party attacks
  • Indirect, incidental, special, or consequential damages
  • Cost of substitute goods or services
  • Damages arising from your misuse of the Service

10.4 Service Interruptions

Tamu is not responsible for:

  • Scheduled maintenance (at least 48 hours notice provided)
  • Internet connectivity failures
  • Third-party payment processor outages
  • Unforeseeable circumstances (natural disasters, government action, pandemics)

11. Confidentiality and Data Protection

11.1 Confidential Information

  • Each party agrees to keep the other's confidential business information secure
  • Confidential information does not include publicly available information

11.2 Data Privacy

  • Guest personal data is protected under Malaysia's Personal Data Protection Act 2010 (PDPA)
  • See our Privacy Policy for detailed data handling practices
  • You are responsible for ensuring guest consent for data collection

12. Compliance with Law

12.1 Legal Compliance

You agree to:

  • Comply with all Malaysian federal and state laws and regulations
  • Pay all required tourism taxes and registration fees
  • Obtain all necessary licenses and permits for operating your property
  • Comply with MOTAC registration requirements if applicable
  • Maintain valid business registration with SSM (Suruhanjaya Syarikat Malaysia)

12.2 Tourism Regulations

  • TamuHQHQ does not provide legal advice on tourism regulations
  • You are solely responsible for understanding and complying with MOTAC requirements
  • Non-compliance may result in account suspension

12.3 Tax Obligations

  • You are responsible for all income tax reporting and payments
  • TamuHQHQ will provide transaction records to support tax compliance
  • TamuHQHQ does not calculate or pay taxes on your behalf

13. Prohibited Conduct

You agree not to:

  • Upload illegal, offensive, defamatory, or fraudulent content
  • Manipulate booking data or create fake reservations
  • Attempt to access unauthorized areas of the platform
  • Use the Service to scam or defraud guests
  • Engage in money laundering or financial crimes
  • Violate intellectual property rights of others
  • Resell or redistribute the Service
  • Use bots or automated tools to scrape the platform
  • Engage in pricing discrimination or unfair practices

Violation of prohibited conduct may result in immediate account termination and legal action.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms are governed by the laws of Malaysia, specifically the laws applicable to the location of your primary property.

14.2 Dispute Resolution

  • Any disputes arising from these Terms shall first be resolved through good-faith negotiation
  • If negotiation fails, disputes shall be submitted to mediation
  • If mediation fails, disputes shall be resolved through Malaysian courts
  • You consent to the exclusive jurisdiction of Malaysian courts

14.3 Arbitration (Optional)

Alternatively, both parties may agree to submit disputes to binding arbitration under Malaysian Arbitration Act 1972.

15. Indemnification

You agree to indemnify and hold harmless TamuHQ, its owners, employees, and agents from any claims, damages, or legal fees arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Claims by third parties (guests, competitors, authorities) related to your use of TamuHQ
  • Your property operations and guest disputes

16. Modifications to Terms and Service

  • TamuHQHQ may modify these Terms at any time with 30 days' notice
  • Service modifications or additions may be announced via email
  • Continued use after notice constitutes acceptance of modifications
  • Major modifications to core functionality are considered material changes

17. Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be severed, and all remaining provisions shall continue in effect.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and TamuHQ regarding use of the Service and supersede all prior agreements.
